Contest Name: Short Hills Giveaway (the “Contest”)

Sponsor: Pura Vida Miami, 2916 N. Miami Avenue, Suite 1100, Miami, FL 33127 (the “Sponsor”)

Entry Period: April 10, 2026 through April 14, 2026 (the “Entry Period”)

Who may enter: Open only to legal residents of the state of New Jersey, USA age 18 or older. Employees of Sponsor and their immediate family members are not eligible.

Participating Platforms: Entries may be submitted via Instagram (the “Platform”). The Prize (defined herein) may require the use of the Pura Vida Miami mobile app for redemption; use of the app is not required to enter the Contest.

How to Enter: Participants must do all of the following in order to validly enter the Contest: (a) follow the official / verified ‘Pura Vida Miami’ Instagram account (@puravidamiami), (b) ‘repost’ the Instagram post in connection with the Contest on the Account to their personal Instagram story , and (c) ‘tag’ a friend’s Instagram account on such post. Participants may, at their option, additionally ‘repost’ the Instagram post in connection with the Contest on the Account to their personal Instagram feed (as a ‘static’ post) to receive one (1) additional Contest entry. For this entry method, each Participant must have an active / valid Instagram account.  If a Participant does not have an Instagram account, such Participant may download the Platform through the application store on a compatible mobile device and create an account. The Platform is free, and the Platform’s Terms of Use apply. For details, visit http://instagram.com/legal/terms/. Each eligible comment tagging a different friend on Instagram will be considered a separate entry, but, a comment must only tag one (1) friend. In all cases, only tag friends from whom you have obtained their prior express consent and who you believe are eligible under these Official Rules and are interested in Pura Vida Miami. The award of the Prize is conditioned upon a potential winner establishing its satisfaction that he/she obtained the prior consent of a tagged friend. For clarity, the tagged friend will not be entered in the Contest him/herself.  Any entry submitted with an invalid username (i.e., friend is improperly tagged) or with other inaccurate, incomplete, or incorrect information will be disqualified. A given friend may only be tagged once on the Platform by only one (1) person. Should more than one (1) person tag the same friend, only the first person who tagged such friend (on the Platform) will receive an entry. NOTE: When entering on the Platform, Participants are providing their information to the Sponsor, not to the Platform.

Prize and Approximate Retail Value: One (1) Prize will be awarded. The Prize winner will be awarded (a) one (1) Five Hundred United States Dollars ($500.00 USD) PURA VIDA MIAMI e-gift card, with an approximate retail value of Five Hundred United States Dollars ($500.00 USD) (the “Gift Card Prize”). There is a limit of one (1) Prize per person. No cash equivalent for the Prize will be awarded. The Prize is non-transferable, and no substitution will be made except as provided herein at the Sponsor’s sole and absolute discretion. Sponsor reserves the right to substitute the listed Prize for one (1) of equal or greater value for any reason or no reason whatsoever. Winners are responsible for all fees associated with Prize receipt and/or use. All federal, state, and local tax liabilities are the sole and absolute responsibility of the winners

General Entry Terms: If you enter using a mobile device on a wireless service provider’s network (as opposed to a Wi-Fi network), your carrier’s text and data rates will apply. You should consult your wireless service provider’s pricing plan for details.  You agree to incur any and all charges demanded by your wireless carrier.

There is no limit on how many times a Participant can enter to win the Prize.  Use of any automated system or third party service to participate is prohibited and will result in disqualification and all such entries will be deemed void.  False and/or deceptive entries or acts, including misrepresentation of age or consent of tagged friends, shall render such entries ineligible and may constitute fraud.

Sponsor reserves the right to disqualify and remove any entry at any time that is not in compliance with these Official Rules. 

Released Parties (as defined below) are not responsible for lost, late, misdirected, inaccessible, incorrect, illegible, incomplete, invalid, unintelligible, or damaged entries, or for entries submitted in a manner that is not expressly allowed under these Official Rules, or for any entry not submitted or received due to any technical error or failure, operation of the functionality of the Platform, human error, unauthorized human intervention, inaccurate capture or mis-entry of any required information, failures, omissions, interruptions, deletions, or defects of any phone or cellular phone provider, network computer online systems, computer equipment, servers, or software, including any injury or damage to entrant’s or any other person’s computer or mobile device (or any information stored thereon) relating to or resulting from participation in this Contest; or the failure to capture any such information or effects of hackers or failure of any electronic equipment, computer, phone line or cellular transmissions and/or network connections; all of which will be disqualified.

In the event of a dispute as to any entry, the authorized account holder of the email address associated with the username used to post a comment/ entry on the Platform will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the corresponding email address. Proof of being the authorized account holder may be required.

By registering and submitting an entry, you affirm that you have read and accepted these Official Rules.  Any information collected by entering the Contest shall be collected and used only in a manner consistent with these Official Rules and with Sponsor’s Privacy Statement, available at https://www.puravidamiami.com/privacy-policy.

Additional Entry Requirements- Content of Comment: If a comment includes any content OTHER THAN the @username of a tagged friend, such entry will be disqualified if such content is in violation of any of, the following requirements as determined by the Sponsor in its sole discretion:

●      is not the original work of entrant and/or violates the intellectual property or other rights of any third party;

●      contains any personal information regarding either entrant or a tagged friend other than user name (e.g., email address or telephone number);

●      contains material that advocates any illegal conduct or violence;

●      feature, refer to, or mention any companies or brands in general or that are in competition with Sponsor;

●      contain description of nudity, inappropriate, indecent, sexually explicit, pornographic, or obscene content, names or images or content which is otherwise inappropriate;

●       contain any political or politically themed or motivated messages, statements, or images;

●      defame, slander, libel, misrepresent, or contain disparaging remarks or any other content that could adversely affect the name, reputation, or goodwill of Sponsor or the Contest;

●      depict, describe or include images that may be considered unlawful, harmful, threatening, violent, abusive, harassing, tortious, defamatory, vulgar, libelous, invasive of another’s privacy, hateful, or racially, religiously, ethnically or otherwise objectionable in any manner as solely determined by Sponsor; and

●      adhere to the Community Guidelines/Community Standards of the Platform (as applicable).

Representation and Release of Rights to Entries: Sponsor reserves the right, in its sole discretion, to disqualify any individual (and all of his or her entries) who tampers or attempts to tamper with or abuse the entry process or the Contest website / Platform (i.e., either the official PURA VIDA MIAMI page on Instagram or Facebook, as the case may be) in any way or who is otherwise in violation of these Official Rules, as determined by Sponsor in its sole discretion.   ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY CONTEST WEBSITE OR PLATFORM OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

Determination of Prize Winners: Prize winners will be selected randomly by Sponsor, and eligibility requires that Participants comply with all instructions posted for the Contest. The Sponsor reserves the right to verify the validity of each submission and disqualify entries that fail to meet the requirements of these Official Rules.

Entries will be reviewed to ensure compliance with all instructions, including following @puravidamiami, reposting the Instagram post in connection with the Contestto their personal Instagram story, and tagging a friend in the comment section of the designated Instagram post. For the avoidance of doubt, only one (1) winner will be randomly selected from all entries that meet these requirements.

All determinations of winners are final and binding. In the event that a potential winner does not meet the eligibility requirements, is disqualified, or fails to respond within the required timeframe, the Sponsor reserves the right to select an alternate winner from among the remaining eligible entries. The odds of winning depend on the number of eligible entries received in accordance with the day-specific instructions.

Prize Winner Notification: Potential winners will be notified by direct message on the Platform, approximately within one (1) day following the conclusion of the Entry Period. If the Sponsor is unable to contact a potential winner within twenty-four (24) hours of the initial notification, the potential winner may be disqualified, and an alternate winner may be selected from the remaining eligible entries, at the Sponsor’s sole discretion.

Potential winners may be required to provide proof of eligibility, including age and residency, affidavits of eligibility, and liability/publicity releases, where permitted, within the timeframe specified by the Sponsor. Failure to timely respond or to comply with these requirements will result in disqualification, and an alternate Prize winner may be selected.

The Sponsor’s determination of winners and the administration of Prize notification are final and binding in all matters related to this Contest.

If a potential winner fails to claim their Prize within the twenty-four (24) hours of Sponsor’s initial message notification as specified in the previous section, the Prize will be considered unclaimed, and Sponsor reserves the right to, at its sole discretion, do any of the following: (a) redraw the Prize among eligible entrants who did not originally win, (b) award the Prize to a runner-up, (c) forfeit the Prize and not award it to any entrant, and (d) extend the deadline for claiming the Prize. Any decision by the Sponsor regarding unclaimed Prizes is final and binding on all entrants.  During Prize winner’s notification, the selected potential winner must confirm their eligibility and indicate their willingness and ability to accept the Prize award. The potential winner will then receive official notification via email delivery and/or Instagram direct message.

If any selected Prize winner does not meet the eligibility requirements, or elects to decline the Prize, s/he will be disqualified, and an alternate Prize winner will be randomly selected from among all remaining eligible entries and notified as per the procedures outlined above. Any disqualified Participant will not receive any alternate Prize substitution or compensation.  Decisions of the Sponsor in the selection and determination of prize winners and all matters relating to this Contest are final and binding. Failure to collect or properly claim any Prize in accordance with these rules will result in forfeiture of the prize. 

Prize: All Prizes awarded in connection with this Contest are non-transferable and cannot be exchanged for cash, except where expressly required by law. Winners are solely responsible for any and all applicable federal, state, and local taxes or other fees associated with the receipt or use of the Prize. The Sponsor reserves the right, in its sole discretion, to substitute any Prize with another of equal or greater value if the advertised Prize becomes unavailable for any reason.

Additional Rules & Restrictions: By participating, entrants agree to follow, abide and be bound by the Official Rules and the decisions of the Sponsor, Pura Vida Miami, as well as their respective current and future affiliates, officers, directors, employees, representatives, shareholders, agents, successors and assigns (“Released Parties”).  This includes abiding by the Terms set by the Platform for their respective services., which shall be final in all matters relating to this Contest.  In the event an entrant wins a Prize, and is later found to be in violation of these rules, he/she will be required to forfeit the Prize or to reimburse Sponsor for the stated value of the Prize if such violation is discovered after the winner has used the Prize. Participation in Contest constitutes permission for the Sponsor and its designees to use entrants’ names, cities and states of residence and/or likenesses for purposes of advertising and trade in any and all media now or hereafter known, worldwide, in perpetuity, without limitation or further compensation, notification or permission, unless prohibited by law. False, fraudulent or deceptive entries or acts shall render entrants ineligible for any Prize.

By participating, entrants agree to hold all Released Parties harmless from any claims, losses, actions, or damages of any kind, whether actual, incidental or consequential, for injury (including, but not limited to, death), damages, losses or expenses arising out of or relating to entrant’s participation in this Contest, or the acceptance, possession or use/misuse of any Prize, or participation in Prize -related activities (including, but not limited to, travel or activity related thereto), and to assume all liability therefor.

Sponsor reserves the right to cancel, modify or terminate the Contest if fraud, misconduct or technical failures or other events beyond the Sponsor’s control (e.g., a force majeure event such as pandemic/epidemic, natural disaster, riot, strike or governmental action) destroy or threaten the integrity of the Contest in whole or in part, such that the Contest cannot be conducted as originally intended, as determined by Sponsor in its sole discretion. In such case, Sponsor reserves the right to select the potential winners from among all eligible, non-suspect entries received as of the time/date of such termination or otherwise in a manner of its sole determination, which is fair, appropriate and consistent with these Official Rules. Notice of such action by Sponsor will be posted on the official Pura Vida Miami page on each Platform.

IN CASE OF DISPUTES: By participating, each entrant agrees that any and all disputes, claims, and causes of action arising out of or in connection with this Sweepstakes, or any Prizes awarded, shall be resolved individually, without resort to any form of class action, by arbitration.  The arbitration shall be initiated and conducted according to the JAMS Arbitration Rules & Procedures in effect as of the date hereof, including the Optional Appeal Procedure provided for in such rules (the “Arbitration Rules”), unless the parties jointly agree to follow a different set of rules or procedures.  The arbitration shall be governed by Florida law and conducted in Miami-Dade County before a single neutral arbitrator, who shall be a retired judge or attorney.  The parties shall be entitled to undertake the same types of discovery in the arbitration as are permitted in civil actions before a Circuit Court of the State of Florida in Miami-Dade County.  The arbitrator shall have the authority to hear and rule upon all discovery motions.  Notwithstanding the foregoing, either party may in an appropriate matter apply to a court pursuant to Florida Statute § 682.031, or any comparable provision, for provisional relief, including a temporary restraining order or a preliminary injunction.  The arbitrator shall not have the power to commit errors of law or legal reasoning, and the award may be vacated or corrected on appeal to a court of competent jurisdiction for any such error.  If either party refuses to perform any or all of its obligations under the final arbitration award (following appeal, if applicable) within thirty (30) days of such award being rendered, then the other party may enforce the final award in any court of competent jurisdiction in Miami-Dade County.  Except to the extent otherwise required pursuant to the applicable JAMS rules and procedures, each party will pay the fees of its respective attorney(s), the expense of its witnesses, cost of any record or transcript of the arbitration, and any other expenses connected with the arbitration that such party might be expected to incur had the applicable controversy been subject to resolution in court. The parties further agree that any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, and in no event will entrant be entitled to receive attorneys' fees or other legal costs. Under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with this Contest, shall be governed by, and construed in accordance with the laws of the State of Florida, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of Florida or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than the State of Florida.

Odds: The odds of being selected as a Prize winner for the Contest depend on the total number of eligible entries received and entry method.
